TKO Hotels Bids $2 Billion for Service Properties Trust Portfolio
TKO LLC has formally proposed an all-cash acquisition of SVC's hotel portfolio, aiming to reshape both companies' strategic direction.
TKO LLC, a South Dakota-based hospitality investment firm, has submitted a formal written offer to acquire Service Properties Trust's hotel portfolio in an all-cash deal valued at approximately $2 billion, the company announced Thursday.
The proposed transaction would provide Service Properties Trust with immediate liquidity while enabling the real estate investment trust to pivot toward a focused business model. Under the plan, SVC would emerge as a pure-play net lease REIT, shedding its hotel assets in a single structured transaction rather than through a prolonged piecemeal disposal process.

For TKO, the deal would represent a significant expansion of its hospitality holdings, consolidating a large hotel portfolio under a single ownership structure. All-cash offers of this scale are relatively uncommon in the REIT transaction space and typically signal strong acquirer conviction in the underlying asset values.
The announcement positions both parties at a strategic inflection point. SVC's potential transformation into a net lease REIT would align it with peers that have historically attracted stable institutional investor bases, while TKO would gain immediate scale in the competitive lodging investment market. The outcome of the proposed deal will depend on due diligence, board review, and any regulatory considerations that may follow.
