Jasper Therapeutics, Inc. (Nasdaq: JSPR) announced Tuesday it has commenced a formal offer to purchase all outstanding warrants tied to its common stock, paying $0.324 in cash per warrant with no interest attached. The Redwood City, California-based clinical-stage biotechnology firm said any warrants tendered under the offer will be retired and cancelled upon completion.
The warrants in question were originally issued during an underwritten public offering on September 18, 2025. The company did not disclose the total number of warrants outstanding or the aggregate maximum cost of the buyback in its announcement.

Jasper said the primary motivation behind the move is to reduce the potential dilutive effect that warrant exercises could have on existing shareholders. By retiring the instruments outright, the company aims to give current investors and prospective buyers greater clarity over how many shares could ultimately be outstanding.
The offer is part of a broader strategic effort by the company to manage its capital structure as it continues developing therapies targeting immune-mediated diseases. Biotechnology companies at the clinical stage frequently contend with dilution concerns stemming from equity-linked securities issued during earlier fundraising rounds.
